Terms of Use

1 Who Can Use Momenza

Momenza is an event management platform intended for use by event agencies, event planners, coordinators, venues, corporate teams, and other individuals or organisations involved in planning, managing, coordinating, or delivering events.

By accessing or using Momenza, you represent and warrant that:

• You are legally capable of entering into a binding agreement under the laws applicable to you.
• If you are using Momenza on behalf of a company, organisation, or other legal entity, you have the authority to enter into these Terms on its behalf.
• You will provide accurate and complete information when creating or maintaining your Momenza account.
• You will use the Services only for lawful business or professional purposes and in accordance with these Terms and all applicable laws and regulations.
• You will ensure that any individuals you authorise to access your organisation’s Momenza account are permitted to do so and comply with these Terms.

Momenza is not intended for use by individuals who are legally prohibited from accessing or using the Services. We reserve the right to refuse access to, or suspend or terminate, an account where we reasonably believe that these eligibility requirements have not been met or that the Services are being used in violation of these Terms or applicable law.

2 Your Account

• Account security: You are responsible for maintaining the confidentiality and security of your Momenza account credentials and for all activities carried out through your account.
• Accurate information: You must ensure that the information associated with your account remains accurate, complete, and up to date.
• Credential sharing: You must not share your login credentials with unauthorised individuals or allow others to access your account, except through user access features authorised and provided by Momenza.
• Unauthorised access: If you suspect any unauthorised access to or use of your account, you must notify Momenza promptly and take reasonable steps to secure your account.

3 Subscription and Payments

• Subscription plans: Momenza offers subscription plans on a monthly basis. The applicable fees, features, and usage limits for each plan are displayed on the Momenza Pricing page and may be updated from time to time.
• Billing: Subscription fees are billed at the beginning of each billing cycle based on the plan selected by you.
• Payment authorisation: By subscribing to a paid plan, you authorise Momenza or its designated payment provider to charge the applicable fees to your selected payment method.
• Failed payments: If a payment fails or cannot be processed, Momenza may retry the payment and may suspend or restrict access to the Services if the outstanding amount remains unpaid.
• Refunds: Subscription fees are non-refundable and non-proratable, except where a refund or adjustment is required by applicable law or approved by Momenza.
• Taxes: Applicable taxes, including GST where required under Indian tax law, will be added to the applicable subscription charges.
• Changes to pricing and plans: Momenza may change its pricing, subscription plans, features, or usage limits from time to time. Where required by applicable law, we will provide reasonable notice of material changes.

4 Free Trial

• Trial availability: Momenza may offer a 15-day free trial to allow you to evaluate the Services before purchasing a subscription.
• No payment details required: No credit card or other payment details are required to start the free trial.
• Trial period: The free trial will automatically end 15 days after it begins.
• Manual upgrade: At the end of the trial, you must manually select and purchase a paid subscription plan to continue using paid features.
• No automatic charges: You will not be automatically charged when the free trial ends. Charges will apply only after you manually select and purchase a paid plan.
• Changes to the trial: Momenza reserves the right to modify, suspend, or discontinue the free trial at any time, subject to applicable law.

5 Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:

• Unauthorised access: Share your login credentials with unauthorised persons or allow unauthorised individuals to access your account.
• Illegal or fraudulent activity: Use the Services for any unlawful, fraudulent, or otherwise unauthorised activity.
• Malicious content: Upload, transmit, or distribute malicious code, viruses, harmful files, or other material that may compromise the security, functionality, or operation of the Services or harm other users.
• System interference: Attempt to gain unauthorised access to the Services, systems, networks, or other users’ accounts, or otherwise interfere with or disrupt their operation.
• Misrepresentation: Misrepresent your identity, organisation, business, or other information when using the Services.
• Platform disruption: Use the Services in any manner that may damage, disrupt, impair, or place an unreasonable burden on the security, availability, or functionality of the platform.
• Enforcement: Momenza reserves the right to suspend or terminate your access to the Services where we reasonably believe that you have violated these requirements or otherwise used the Services in a manner that may harm Momenza, its users, or the platform.

6 Your Data and Content

• You retain ownership: You retain all rights, title, and interest in the data, content, and information you upload, submit, or store through Momenza, including client data, event information, business information, documents, files, and other content.
• Permission to process your data: By using Momenza, you grant us a limited, non-exclusive, worldwide, royalty-free license to store, access, reproduce, transmit, and process your data as reasonably necessary to provide, operate, maintain, secure, and improve the Services.
• Use of your data: We may process your data to provide the features and functionality of Momenza, respond to your requests, maintain and secure the platform, troubleshoot technical issues, and meet our legal or regulatory obligations.
• No ownership claim: Momenza does not claim ownership of your client data, event data, business information, or other content you provide through the Services. Your use of Momenza does not transfer ownership of such data to us.
• Your responsibility: You are responsible for ensuring that you have the necessary rights, permissions, and lawful authority to provide the data you upload to Momenza and to allow us to process it in accordance with these Terms and applicable law.

7 Cancellation and Termination

• Cancelling your subscription: You may cancel your Momenza subscription at any time through the cancellation option available in your account or by contacting Momenza through the designated support channel. Cancellation will prevent renewal of your subscription for the next billing cycle. Unless otherwise stated or required by applicable law, you will continue to have access to the Services until the end of your current paid billing period.
• Effect of cancellation: Cancellation of your subscription does not entitle you to a refund or prorated credit for any unused portion of the current billing period, except where required by applicable law or approved by Momenza.
• Data after cancellation: Following cancellation or termination of your account, Momenza may retain your data for a reasonable period as necessary to comply with legal, regulatory, accounting, security, or legitimate business requirements. Subject to these requirements, your data may be deleted or permanently anonymised after the applicable retention period. You are responsible for exporting or obtaining any data you wish to retain before your account is cancelled or terminated.
• Suspension or termination by Momenza: Momenza reserves the right to suspend, restrict, or terminate your access to the Services if we reasonably believe that you have violated these Terms, engaged in unlawful or fraudulent activity, misused the Services, or created a security or operational risk to Momenza or other users.
• Termination for other reasons: Momenza may also suspend or terminate the Services or your account where necessary to comply with applicable law, protect the security or integrity of the platform, or discontinue a Service or feature, subject to applicable law.
• Survival of terms: Provisions of these Terms that by their nature should continue after cancellation or termination, including provisions relating to ownership, payment obligations, limitations of liability, and dispute resolution, will remain in effect after your account is closed.

8 Limitation of Liability

• No liability for indirect losses: To the maximum extent permitted by applicable law, Momenza will not be liable for any indirect, incidental, special, consequential, or exemplary losses or damages arising from or related to your use of, or inability to use, the Services. This includes loss of revenue, profits, business opportunities, anticipated savings, goodwill, or other economic losses.
• Data loss: To the maximum extent permitted by applicable law, Momenza will not be liable for any loss, corruption, alteration, or unavailability of data resulting from technical issues, service interruptions, system failures, or other platform-related issues. You are responsible for maintaining appropriate backups of any data you consider important.
• Limitation of total liability: To the maximum extent permitted by applicable law, Momenza’s total aggregate liability for any claims arising out of or relating to the Services or these Terms will not exceed the total subscription fees actually paid by you to Momenza during the billing period immediately preceding the event giving rise to the claim.
• Exceptions: Nothing in these Terms limits or excludes liability that cannot legally be limited or excluded under applicable law.

9 Changes to These Terms

• Right to update: Momenza may modify, update, or revise these Terms from time to time to reflect changes to the Services, applicable laws, business practices, or other operational requirements.
• Notice of significant changes: Where we make material or significant changes to these Terms, we will provide reasonable notice, which may include notifying you by email or through a notice within the Momenza platform.
• Acceptance of updated Terms: Your continued access to or use of Momenza after the updated Terms become effective constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you should discontinue use of the Services and cancel your subscription, where applicable.
• Effective date: Any changes to these Terms will become effective on the date specified in the updated Terms or, where no date is specified, upon publication of the updated Terms on the Momenza platform.

10 Governing Law

• Applicable law: These Terms and your use of the Services will be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.
• Jurisdiction: Any dispute, claim, or legal proceeding arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the competent courts in India.
• Dispute resolution: You agree to submit to the jurisdiction of the applicable courts in India for the resolution of any disputes arising in connection with these Terms or your use of the Services.
